- Your duties -
Within a dynamic and growing team, and under the supervision of a Partner, you will provide legal assistance to a diverse Luxembourg and international clientele in Corporate and Corporate Finance matters. You will be expected to:
- Act as a key contact and trusted legal advisor for US and UK-based clients, handling queries, coordinating transactions, and organizing meetings and conference calls;
- Liaise with international law firms in multiple jurisdictions to coordinate the implementation of cross-border transactions;
- Handle capital increases and reductions and related resolutions, dividend distributions (including interim dividends), and approval of annual and consolidated accounts under Lux GAAP and IFRS;
- Advise on company formations, mergers, demergers, partial asset contributions, liquidations, and corporate restructurings;
- Draft and review legal documentation related to banking and financial transactions, including facility agreements and legal opinions;
- Supervise and mentor junior team members, ensuring efficient task allocation and quality control;
- Support the corporate secretary of a client, ensuring compliance with corporate governance requirements.
- Your profile -
- Admitted to the Luxembourg Bar as an Avocat à la Cour, holding a Master’s degree in Law;
- 3 to 6 years of experience in Corporate and Corporate Finance law in Luxembourg, preferably gained within a reputable law firm;
- Deep understanding of Luxembourg’s legal and regulatory environment in corporate and financial matters;
- Fluency in both English and French is required. Proficiency in Luxembourgish and/or German is an asset;
- Strong leadership skills, with the ability to coordinate and mentor junior lawyers/interns;
- Highly organized and detail-oriented, with the ability to manage multiple files and meet tight deadlines;
- Excellent communication skills, both written and oral;
- A problem-solving mindset, with a pragmatic and client-focused approach;
- Proficient in modern IT tools and legal research databases;
- Team-oriented, proactive, and adaptable to a fast-paced environment.
