Job description

As part of an internal reorganization, they are looking for an Associate – Legal Officer. Reporting directly to the Legal Manager, you will be responsible for all legal and corporate matters of various real estate companies (Luxembourg and foreign companies) with focus on the following key responsibilities:

  • Day-to-day managing of Luxembourg investment vehicles (Sàrl, SCSp etc) and coordinating transactions from a legal perspective (acquisition, financing, sale…), handling autonomously your own portfolio of Luxembourg investment vehicles and leading transactions;

  • Setting up, administrating and liquidating legal entities, ensuring that their respective activities are in compliance with rules and regulations applicable in Luxembourg and abroad;

  • Drafting and reviewing legal documents e.g. loan agreements, board and shareholders minutes and proxies, as well as any other legal documents pertaining the normal lifecycle of a client entity (share capital increase, redemption deeds, mergers,...);

  • Reviewing and assessing relevant legal documentation and advice from third-parties and/or as drafted  by the juniors in the team;

  • Coordinating with local and foreign advisors in relation with the local underlying entities and assets (Western and Central Europe);

  • Coordinating third party legal and notary services;

  • Familiarity with typical Luxembourg real estate fund structures (e.g. SCSps managed by full scope AIFMs) and documents (e.g. LPAs). LPAs), and ensuring compliance with internal processes relating to legal and corporate tasks, applying high governance standard, solving problems proactively using technical expertise and common sense. 

In this role you will work closely with the teams in Luxembourg, in the head office in London and across Europe, dealing with the business partners and counterparties throughout Europe.

Profile

  • Master’s degree in Law;

  • Relevant experience of minimum 3 to 4 years in a comparable position in a fiduciary, in a law firm or a management company in Luxembourg;

  • Fluency in English and French (written & spoken), German an asset, any further foreign languages a plus;

  • Solid working knowledge in Luxembourg Corporate law;

  • Ability to solve practical problems and deal with a variety of situations for which there may be little precedence;

  • Proficiency with MS applications;

  • High commitment, motivation and willingness to take on responsibility;

  • Strong towards stress and capable to work under short deadlines;

  • Ability to work in autonomy while displaying team spirit;

  • Excellent written and oral communication skills;

  • Inquisitive mind and analytical skills.
