• Advantages of choosing a company structure
• Introduction to the August 10, 1915 Law on Commercial Companies, its contractual approach, and recent reforms
• Distinction between companies and related entities such as non-profit associations (ASBL), economic interest groups (GIE), and branches
• Difference between partnerships and capital companies, with a focus on the hybrid nature of the SARL
• Classification of commercial companies and review of their specific characteristics: SNC, Scoop, SA, SAS, SARL, SCA, SCS/p
•Specific features of the SARL-S
•Quiz: choosing the most appropriate company form based on the project.
Topic 2: Administrative Procedures Related to the Project
• Permits required based on the intended activity
• How to submit an establishment permit application: activity sectors, management requirements, conditions for approval, administrative procedure, and timelines
• Use of companies in regulated funds: concepts of OPC, FIA, SICAR, FIS, FIAR

Topic 3: Forming a Commercial Company
• Steps in forming a company: preliminary steps, key documents, timelines, role of the notary, validity requirements of the deed, share capital, bank account, legal personality, payment of capital contributions, nullity, first general meeting, and post-incorporation formalities
• Third-party disclosure: RCS (Trade and Companies Register), RESA (Electronic Compendium of Companies and Associations), and RBE (Beneficial Owner Register)
• Understanding the opening of a branch
• Nationality and substance of commercial companies: real seat theory, central administration, case law
• Company domiciliation: applicable law, legal framework, and relevant case law
Topic 4: Focus on SARL Bylaws
• Bylaws and key characteristics: company name, registered office, corporate purpose, and share capital
• Analysis of different types of clauses: mandatory, enabling, waiving, contractual, and informational
• Review of standard bylaws for a Soparfi (Société de participation financière)

Patrick holds a D.E.S. in International and European Law from the University of Louvain-la-Neuve and an LL.M. in Transnational Business Practice from McGeorge School of Law in Sacramento.
He is the founder of LËTZLAWFIRM, a law firm, and handles corporate and financial law matters on a daily basis, including mergers and acquisitions, private equity, joint ventures, and corporate group restructurings.
