Building on the success of its Masterclasses, Legitech is expanding its offer to include an advanced cycle of 4 webinars: the Company Law Masterclass.
Coordinated by Alain Steichen, this cycle focuses on the essential principles, the most recent developments, but also the stumbling blocks encountered in practice, in order to offer the participants the means and advice of specialists.
To be as relevant as possible to practical situations, the sessions are interactive: concrete cases related to the topics discussed can be submitted by the participants to the speakers during the webinar.
This cycle benefits from the assistance of the best specialists in the field, professors and professionals from private practice.
SESSION 3 : CHOOSING THE RIGHT COMPANY FORM
Luxembourg offers a wide arsenal of company forms allowing economic actors to opt for the most suited one. However, navigating through the various forms and having a clear understanding of their pros and cons may reveal a challenging exercise. Furthermore, the needs and objectives of an economic endeavour evolve over time so that a corporate form that used to be perfectly adequate may appear inappropriate over time. This session will provide participants with simple guidelines to adequately choose between the multiple corporate forms available, as well as with a broad toolbox on how to ensure that a company retains a corporate form perfectly tailored to its needs throughout its existence.
SPEAKERS :
Alain STEICHEN
Alain is Managing Partner at BSP.
He has been involved in numerous migrations of companies to Luxembourg and has advised on major domestic and international corporate restructurings, including pre-sale reorganisations and intra-group financings.
He also advises on complex international and domestic recapitalisations, (de)mergers, acquisitions and sales of businesses, where he has vast experience in acting for banks and telecom solutions providers.
Alain has extensive experience in tax litigation, negotiation with revenue authorities and settlement of disputes. As such, he advises multi-nationals, financial institutions, corporates and high net worth individuals on a number of ongoing tax and VAT local and cross-border disputes.
He also regularly advises on various European tax law questions with particular focus on EU State aid.
An Associate Professor at the University of Luxembourg in public finance, European tax, international tax and company taxation, he is the author of various books (15+) and articles on Luxembourg accounting, tax and company law.
François BERNARD
François is a recognised expert in the complicated field of cross-border mobility of companies, including mergers, divisions, and conversions. He also has significant experience in a wide array of corporate and commercial law matters, including private equity investments and M&A transactions.
François teaches company law at the University of Luxembourg and frequently publishes on various company law topics.
He holds two Ph.D. degrees in company law, one from the Université catholique de Louvain and one from the University of Luxembourg. He also obtained a Master of Laws (LL.M.) degree in Commercial Law from the University of Cambridge.
François joined the Luxembourg office of Stibbe in 2013.
