Job Description


Our client is a private equity investment firm that partners with software and technology-enabled services companies. With total AUM of €11 billion, it is a well-established business yet operating as a boutique office, with excellent team spirit and collaboration between teams.


An opportunity has arisen for a high caliber legal officer to join this high performing team.


Given the high visibility of the role, this role requires a curious and energetic collaborator who is motivated to further grow their skill set and own their responsibilities under the mandate. 


CONTEXT:


In the exercise of its functions the role of senior legal associate is to ensure the overall responsibility for all legal aspects of the portfolio. 



THE MANDATE: 


  • Coordinating and organizing transactions while also crafting and/or reviewing transactional documents.
  • Drafting legal paperwork for Private Equity and corporate dealings.
  • Crafting corporate legal documents for day-to-day business operations.
  • Coordinating with external parties for company establishment or dissolution.
  • Ensuring timely signing and filing of documents in the system.
  • Participating in and drafting Board of Directors meeting minutes, and maintaining and organized Board of Management list.
  • Collaborating with the London office.
  • Communicating with external advisors such as lawyers, notaries, and banks.
  • Handling Know Your Customer (KYC) procedures, opening bank accounts, and adhering to Anti-Money Laundering (AML) and compliance protocols.
  • Facilitating the preparation of bank transfers.
  • Managing RCS filings and keeping company registers current.



THE PROFILE:


  • Proficient in legal matters with a solid foundation of legal knowledge.
  • At least 5 years of legal experience, with a preference for those in Private Equity. Law-firm experience (2-3 years) is a great plus to have. 
  • Collaborative mindset, keen on working within an international environment.
  • Driven by motivation and focused on achieving results, even under pressure.
  • Fluent in both English and French languages.
