Position

  • Legal and compliance assistant.

Your Responsibilities

  • Preparation of board meetings, including the drafting of Shareholder Resolutions and Board Resolutions and ensuring the filing with the RCS.

  • You will be involved in the drafting, preparation and reviewal of agreements including, but not limited to: Shareholder Agreements, Sale Purchase Agreements, Transfer Agreements, and Intercompany Loan Agreements.

  • Daily entry of operations & transactions in the Company’s EPR system to ensure payables are up to date.

  • Monitoring of tax and AML compliance requirements and corporate governance will be part of your daily routine, as well as ensuring that required corporate, tax and other regulatory filings are submitted in a timely manner.

  • Communicating with internal and external stakeholders including law firms, auditors, tax advisors and other service providers.

  • Assisting in general company secretarial tasks and corporate housekeeping. For example: picking up mail, managing documentation (scanning, printing, and updating physical and electronic files in the firm’s system).

 

Profile

  • Prior experience as paralegal or similar role experience in a Luxembourg law firm, fiduciary, or in a similar working environment.

  • Bachelor’s degree in law, business or accounting is mandatory.

  • Knowledge of applicable corporate laws in Luxembourg will be an asset.

  • Fluency in English and Portuguese is mandatory. Fluency in French and/or German would be an advantage.

  • Experience in the use of SAP or another management system will be considered an advantage.

  • Organized, proactive and communicative with an ability to take initiative and assume responsibility.
