Job Description

We are a holding company (PE/FO) established in Luxembourg – Clôche d’Or.

In order to support our growth and create a legal department, we are currently looking for a 

Senior Legal Officer / Legal Manager

with a professional experience in a fiduciary, PE/FO or a law office in Luxembourg

Located near the Howald train station, in an international and dynamic work environment, you will be part of a family-sized team and you will be the key contact of our external collaborators (notaries, lawyers, banks, authorities, auditors and advisors) and you will have the following main responsibilities: 

Your main responsibilities :

  • Day-to-day management of administrative and (para) legal matters related to a portfolio of Luxembourg companies (mainly Soparfis)

  • Preparation of the incorporation articles in relation with the notary

  • Preparation of the legal documentation related to the restructuring of a portfolio of companies (merger, liquidation…)

  • Follow-up, planning and holding of the Shareholders’ and Board meetings, and preparation of the related appointments, minutes and resolutions

  • Follow-up and update of the shares and bonds registers, UBO forms, KYC/AML requirements, structure charts, director mandates, RBE and RCS updates

  • Liaising with the accounting, tax and administrative teams for the timely preparation of the financial statements and the annual accounts and their respective filing

  • Draft of the legal documents related to the intragroup companies activities (i.e. IBL, IFL, PPL, ALPL,…) as well as any legal matters (e.g. HR agreements, recharges contracts, …)

  • Analysis of the legal impact of the draft statutory annual accounts and the consolidated accounts if any (agreements etc…)


Your profile:

  • You are graduated in law (master degree or equivalent)

  • You have at least 5 years of professional experience in international and Luxembourg law firm and/or in a fiduciary and/or in a business environment

  • Knowledge of Office environment (Word, Excel)

  • Fluent in French and English (both written and oral)

  • Rigor, confidentiality, motivation and proactivity

  • Team spirit
